Common use of Transfer and Assignment of Interests Clause in Contracts

Transfer and Assignment of Interests. Except as provided in Section 7.4, no Member will be entitled to transfer, assign, convey, sell, encumber or in any way alienate all or any part of its Membership Interest except with the prior written consent of all of the other, non- transferring Members, which consent may be given or withheld, conditioned or delayed (as allowed by this Agreement or the Act), as the other Members may determine in their sole discretion. Transfers in violation of this Article 7 will only be effective to the extent set forth in Section 7.7. After the consummation of any transfer of any part of a Membership Interest, the Membership Interest so transferred will continue to be subject to the terms and provisions of this Agreement and any further transfers will be required to comply with all the terms and provisions of this Agreement.
