Transfer and Assignment of Certain Licenses and Permits. (a) Licenses and Permits Relating to the ADA-ES Business. On or prior to the Distribution Date, or as soon as reasonably practicable thereafter, ESI shall (and, if applicable, shall cause any other Person over which it has legal or effective direct or indirect control to), duly and validly transfer or cause to be duly and validly transferred to the appropriate member of the ADA-ES Group (as directed by ADA-ES) all transferable licenses, permits and authorizations issued by any Governmental Authority that relate to the ADA-ES Business but which are held in the name of any member of the ESI Group, or any of their respective employees, officers, directors, stockholders or agents.
