Common use of Transactions with Interested Persons Clause in Contracts

Transactions with Interested Persons. Except as set forth on Schedule 5.1(cc) attached hereto, no officer, director, shareholder or employee of the Seller, the Company or the Subsidiary, or their respective spouses or children is or owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Business or any organization which has a contract, agreement, arrangement or commitment with the Company or the Subsidiary relating to the Business.

Transactions with Interested Persons. Except as set forth on Schedule 5.1(cc) attached 2.22 hereto, no neither Seller, nor any shareholder, officer, directorsupervisory employee or director of either Seller or, shareholder or employee to the knowledge of the either Seller, the Company or the Subsidiary, or any of their respective spouses or children is or owns, family members owns directly or indirectly, indirectly on an individual or joint basis, basis any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of the Business Seller, or any organization which has a contract, agreement, material contract or arrangement or commitment with the Company or the Subsidiary relating to the Businesseither Seller.

Except as set forth on in Schedule 5.1(cc) attached 2.23 hereto, no neither Seller, nor any stockholder, officer, directorsupervisory employee or director of any Seller or, shareholder or employee to the knowledge of the Seller, the Company each Seller or the SubsidiaryPrincipals, or any of their respective spouses or children is or owns, family members owns directly or indirectly, indirectly on an individual or joint basis, basis any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of the Business any Seller, or any organization which has a contract, agreement, material contract or arrangement or commitment with the Company or the Subsidiary relating to the Businessany Seller.

Except as set forth shown on Schedule 5.1(cc) attached hereto2.15, to the knowledge of Sellers, no officer, directorsupervisory employee, shareholder director or employee stockholder of the Seller, the Company either Seller or the Subsidiaryany affiliate, or their respective spouses or children is or (i) owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Business or any organization which has a contractmaterial contract or arrangement with a Seller pertaining to the Business, agreement, arrangement or commitment (ii) has any contract or agreement with the Company or the Subsidiary relating a Seller pertaining to the Business.

Except as set forth shown on Schedule 5.1(cc) attached hereto4.18, to the Seller’s knowledge, no officer, director, shareholder director or employee stockholder of the Seller, the Company Seller or the Subsidiaryany of their respective Affiliates, or their respective spouses or children is or owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Business or any organization which has a contract, agreement, arrangement or commitment with the Company or the Subsidiary relating to the BusinessSeller.

Transactions with Interested Persons. Except as set forth shown on Schedule 5.1(cc) attached hereto4.17, to the Sellers' knowledge, no officer, directorsupervisory employee, shareholder director or employee stockholder of the Seller, the Company Sellers or the Subsidiaryany affiliate, or their respective spouses or children is or children, (i) owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Business Business, or any organization which has a contract, agreement, material contract or arrangement or commitment with the Company Sellers pertaining to the Business, or (ii) has any contract or agreement with the Subsidiary relating Sellers pertaining to the Business.

Except as set forth on to the extent described in Schedule 5.1(cc) attached 2.19 hereto, no none of any officer, directorsupervisory employee, shareholder or employee director of the Seller, the Company or the Subsidiary, Stockholder or their respective spouses or children is or children, (i) owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Business Seller, or any organization which has a contract, agreement, material contract or arrangement or commitment with the Company Seller, or (ii) has any contract or agreement with the Subsidiary relating to the BusinessSeller.

Except as set forth on Schedule 5.1(cc) attached hereto, no No officer, director, shareholder supervisory employee or employee director of the Seller, the Company or the Subsidiary, or nor any of their respective spouses or children is or children, owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of Seller or the Business Business, or any organization which that has a contract, agreement, material contract or arrangement with Seller or commitment with the Company or the Subsidiary relating to the Business.

Transactions with Interested Persons. Except as set forth on Schedule 5.1(cc6.1(aa) attached hereto, no officer, director, shareholder shareholder, employee, or employee affiliate of the Seller, the Company or the Subsidiary, or their respective spouses or children is or owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, or has any contractual relationship with any customer, competitor or supplier of the Business or any organization which has a contract, agreement, arrangement or commitment with the Company or the Subsidiary relating to the BusinessSeller.
