Transactions Structure. The transactions contemplated by the Plan shall be structured in an efficient manner (including, without limitation, from a tax perspective and given the intent that the Company, as reorganized pursuant to the Plan (the “Reorganized Company”), not be a “public” company as of the Effective Date) and otherwise reasonably acceptable to the Sponsor, in consultation with the Company.
