Transaction Request. On or prior to 11:00 a.m. (New York City time) five (5) Business Days prior to the related Purchase Date, the applicable Seller shall have delivered to Buyer (a) a Transaction Request, and (b) an Asset Schedule.
Transaction Request. Seller shall have delivered to Buyer a Mortgage Loan Schedule with respect to all Mortgage Loans subject to the requested Transaction pursuant to the timeframes set forth in Section 3(c) hereof.
Transaction Request. Seller shall have delivered to Buyer, in accordance with the timeframes and in the manner set forth in the EverBank Warehouse Customer Guide, and to Custodian, in accordance with the timeframes and in the manner set forth in the Custodial Agreement, (a) a Transaction Request and (b) a Mortgage Loan Schedule with respect to all Mortgage Loans subject to the requested Transaction.
Transaction Request. Except with respect to de minimis data transcription errors, the information contained in the Transaction Request is true, correct and complete and the Mortgage Loan conforms to the description thereof on the related Transaction Request.
Transaction Request. Each Transaction Request delivered by the Seller hereunder shall constitute a certification by the Seller that all the conditions set forth in Section 10(b) (other than clause (9) thereof) have been satisfied (both as of the date of such notice or request and as of the date of such purchase). Each Purchase Confirmation, together with this Agreement, shall be evidence of the terms of the Transaction(s) covered thereby unless specific objection is made no less than two (2) Business Days after the date thereof and Seller's acceptance of the related proceeds shall constitute Seller's agreement to the terms of such Purchase Confirmation. An objection sent by Seller with respect to any Purchase Confirmation (as to which Seller has not accepted or has returned the related proceeds) must state specifically that the writing is an objection, must specify the provision(s) of such Purchase Confirmation being objected to by Seller, and must set forth such provision(s) in the manner that Seller believes such provisions should be stated, and must be received by Buyer no more than two (2) Business Days after such Purchase Confirmation is received by Seller.
Transaction Request. On or prior to the times set forth in the Customer Guide, on the related Purchase Date, Seller shall have delivered to Buyer a Transaction Request via the Warehouse Electronic System, and the pre-funding documents specified in the Customer Guide.
Transaction Request. Seller shall have delivered to the Administrative Agent, in accordance with the timeframes and in the manner set forth in the TIAA Bank Warehouse Customer Guide, and to Custodian, in accordance with the timeframes and in the manner set forth in the Custodial Agreement, (a) a Transaction Request and (b) a Mortgage Loan Schedule with respect to all Mortgage Loans subject to the requested Transaction.
Transaction Request. On or prior to (A) 4:00 p.m. (New York time) on the related Purchase Date for Mortgage Loans that are not Wet-Ink Mortgage Loans and (B) 4:00 p.m. (New York time) on the related Purchase Date for Wet-Ink Mortgage Loans, Sellers have delivered to Buyer (A) a Transaction Request; and (B) a Mortgage Loan Schedule.
Transaction Request. The information pertaining to each Purchased Asset which is set forth in the related Transaction Request delivered to Purchaser is true and correct in all material respects as of the Purchase Date and contains all information required by the Agreement to be contained therein.
Transaction Request. With respect to Transactions the subject of which are Mortgage Loans other than Wet-Ink Mortgage Loans, on or prior to 2:00 p.m. (New York Time) on the related Purchase Date, the applicable Seller shall have delivered to the Buyer (a) a Transaction Request, and (b) a Mortgage Loan Schedule. With respect to Transactions the subject of which are Wet-Ink Mortgage Loans, the applicable Seller shall deliver an estimated Purchase Price of the Wet-Ink Mortgage Loans to be purchased by the Buyer (the “Estimated Purchase Price”) on or prior to 5:00 p.m. (New York Time) on the day prior to the related Purchase Date, and such Seller shall deliver to the Buyer on the Purchase Date, on or prior to 3:00 p.m. (New York Time) (a) a Transaction Request or Transaction Requests, as the case may be, and (b) an Asset Schedule for each such Transaction Request detailing the actual applicable Purchase Price of Wet-Ink Mortgage Loans to be purchased by the Buyer on such Purchase Date. The Buyer and the Sellers acknowledge that there may be more than one Transaction Request on each Purchase Date.
