Common use of Transaction Procedures Clause in Contracts

Transaction Procedures. All transactions for the purchase or sale of securities or other investments for the Assets of the Series will be consummated by payment to, or delivery by, the Custodian(s) from time to time designated by the Fund (the "Custodian"), or such depositories or agents as may be designated by the Custodian pursuant to its agreement with the Fund (the "Custodian Agreement"), of all cash and/or securities and/or other property due to or from the Assets of the Series. The Subadvisor shall not have possession or custody of such cash and/or securities or any responsibility or liability with respect to such custody, except as described herein. The Subadvisor shall advise the Custodian and confirm in writing or by confirmed electronic transmission to the Fund all investment orders for the Assets of the Series placed by it with brokers and dealers at the time and in the manner set forth in the Custodian Agreement and in Schedule A hereto (as amended from time to time). The Fund shall issue to the Custodian such instructions as may be appropriate in connection with the settlement of any transaction initiated by the Subadvisor. The Fund shall be responsible for all custodial arrangements and the payment of all custodial charges and fees, and, upon giving proper instructions to the Custodian, the Subadvisor shall have no responsibility or liability with respect to custodial arrangements or the acts, omissions or other conduct of the Custodian other than arrangements, acts, omissions or other conduct arising in reliance on instructions of the Subadvisor.

All transactions in securities for the purchase or sale of securities or other investments for the Assets of the Designated Series will shall be consummated by payment to, or delivery by, the Custodian(scustodian(s) from time to time designated by the Fund Trust (the "“Custodian"”), or such depositories or agents as may be designated by the Custodian pursuant to its agreement with the Fund (the "Custodian Agreement")in writing, of all cash and/or securities and/or other property due to or from the Assets of the Designated Series. The Subadvisor Subadviser shall not have possession or custody of such cash and/or securities or any responsibility or liability with respect to such custody, except as described herein. All transactions in futures contracts shall be reported to the accounting agent from time to time designated by the Trust (the “Accounting Agent”). The Subadvisor Subadviser shall advise the Custodian or Accounting Agent, as appropriate, and confirm in writing or by confirmed electronic transmission to the Fund Trust all investment orders for the Assets of the Designated Series placed by it with banks, brokers, dealers, futures commission merchants and other counterparties (collectively, “brokers and dealers dealers”) at the time and in the manner set forth in the Custodian Agreement and in Schedule A hereto (as amended from time to time). The Fund Trust shall issue to the Custodian and Accounting Agent such instructions as may be appropriate in connection with the settlement of any transaction initiated by the SubadvisorSubadviser. The Fund Trust shall be responsible for all custodial and accounting arrangements and the payment of all custodial and accounting charges and fees, and, upon giving proper instructions to the CustodianCustodian or Accounting Agent, as appropriate, the Subadvisor Subadviser shall have no responsibility or liability with respect to custodial or accounting arrangements or the acts, omissions or other conduct of the Custodian other than arrangements, acts, omissions or other conduct arising in reliance on instructions of the SubadvisorAccounting Agent.

All transactions The Subadvisor shall, in connection with ----------------------- the purchase and sale of investment orders for the purchase Series, arrange for the transmission either in writing or sale of securities by confirmed electronic delivery to the Custodian for the Series, or its designated depositories or agents, on a daily basis, such confirmations, trade tickets, and other documents and information including, but not limited to, CUSIP, Sedol, or other investments for the Assets numbers that identify cash and/or securities to be purchased or sold on behalf of the Series will be consummated by payment toSeries, or delivery by, the Custodian(s) from time to time designated by the Fund (the "Custodian"), or such depositories or agents as may be designated by reasonably necessary to enable the Custodian pursuant to perform its agreement with the Fund (the "Custodian Agreement"), of all cash and/or securities and/or other property due to or from the Assets of the Series. The Subadvisor shall not have possession or custody of such cash and/or securities or any responsibility or liability responsibilities with respect to the Series, and, with respect to portfolio securities to be purchased or sold through the Depository Trust Company will arrange for the automatic transmission of the confirmation of such custody, except as described herein. trades to the Custodian..
