Transaction Documents; Articles Sample Clauses
The 'Transaction Documents; Articles' clause defines the relationship and hierarchy between the main transaction documents and the company's articles of incorporation or similar governing documents. Typically, this clause clarifies that in the event of any conflict or inconsistency between the transaction documents (such as a share purchase agreement or investment agreement) and the articles, the terms of the transaction documents will prevail. This ensures that the parties' negotiated terms take precedence over standard corporate rules, thereby providing certainty and reducing the risk of disputes regarding which document governs the parties' rights and obligations.
Transaction Documents; Articles. Each of the Transaction Documents shall have been finalized to the reasonable satisfaction of both Parties, executed, delivered and performed (to the extent required/obligated to be performed by the Closing, if any) by all parties thereto other than MS and its Subsidiaries, and the MUMSS Articles shall have been approved by a general meeting of the shareholders of MUMSS and, to the extent required, by general meetings of any class shareholders of MUMSS.
