Trailing Dividends Sample Clauses
The Trailing Dividends clause defines how dividends declared but not yet paid at the time of a transaction, such as a sale or merger, are handled. Typically, this clause ensures that any dividends that have been declared but remain unpaid are allocated to the appropriate party, often the seller or the holder of record as of the declaration date. This mechanism prevents disputes over entitlement to dividends that are in process during a change of ownership, ensuring that the correct party receives the benefit and clarifying financial rights during transitional periods.
