Traffic and User Data. 5.1. During the Term of this Agreement EG will deliver to HZP within 15 days following the end of each month a reasonably detailed report describing for the month the calculation of the Cooperative Advertising Fees paid to EG and the HZP Site Fees (the "HZP TRAFFIC REPORTS"). The HZP Traffic Reports will be delivered promptly at EG's cost, to HZP in a form and via a distribution method mutually agreed upon by the Parties. 5.2. Traffic and User Data. Google will provide to applicable Internet marketing research companies (such as Comscore) ("Research Companies") information or authorizations necessary to allow the Research Companies to track and attribute to Provider video-level traffic related to Provider Content that is available on Provider Channels on the YouTube Website, using the technological tools for tracking and attribution that Google makes available to Research Companies at the relevant time, which may be updated from time to time at Google's discretion. This tracking and attribution will follow a model of Matrix Attribution Reporting. For purposes of this Agreement, “Matrix Attribution Reporting” means reporting that attributes individual video playback traffic for Provider Content displayed on Provider Channels video-level views and number of unique viewers to both Google and Provider. Google agrees to work with Research Companies to allow Research Companies to attribute to Provider video-level traffic related to Provider Content that is available on Provider Channels on Monetized Platforms, using the technological tools for tracking and attribution that Google makes available to Research Companies at the relevant time, which may be updated from time to time at Google's discretion. Any failure by Google in providing the solution referenced in the previous sentence shall not be a material breach of this Agreement, provided, however, if Google makes such solution generally available to similarly situated YouTube content partners, it will make such solution available to Provider.

If a Research Company is able to attribute to Provider instead of to Google individual video playback traffic of Provider Content displayed on Provider's Channels on the YouTube Website and Monetized Platforms in the Research Company's reports in a manner compatible with technology that Google makes available at the time ("Video Traffic Assignment"), but is not able to support Matrix Attribution, then upon Provider's request, Google will take commercially reasonable steps to provide information and authorizations necessary to allow the Research Company in question to include Video Traffic Assignment in the Research Company's reports. If the Research Company later develops the ability to provide Matrix Attribution in its published reports, Google may, after giving 30 days' prior notice to Provider, change the information Google supplies to the relevant Research Company to allow Research Company to report on Provider Content using Matrix Attribution.This tracking and attribution will follow a model of Matrix Attribution Reporting.
