Common use of Trading Advisor Independent Clause in Contracts

Trading Advisor Independent. For all purposes of this Agreement, the Trading Advisor shall be deemed to be an independent contractor and shall have no authority to act for or represent the Company in any way and shall not otherwise be deemed to be an agent of the Company. Nothing contained herein shall create or constitute the Trading Advisor and any other trading advisor for the Company, the Fund or the Manager as a member of any partnership, joint venture, association, syndicate, unincorporated business or other separate entity, nor shall this Agreement be deemed to confer on any of them any express, implied, or apparent authority to incur any obligation or liability on behalf of any other. The parties acknowledge that the Trading Advisor has not been an organizer or promoter of the Fund.

Nothing contained herein shall create or constitute the Trading Advisor and or any other trading advisor for the Company, the Fund or the Manager Trading Entity as a member of any partnership, joint venture, association, syndicate, unincorporated business or other separate entity, nor shall this Agreement be deemed to confer on any of them any express, implied, implied or apparent authority to incur any obligation or liability on behalf of any other. The parties acknowledge that the Trading Advisor has not been an organizer or promoter of the FundTrading Entity.

The parties acknowledge that the Trading Advisor has not been an organizer or promoter of the FundFunds.

Nothing contained herein shall create or constitute the Trading Advisor and any other trading advisor for the Trading Company, the Fund Trading Company, the Partnership or the Manager General Partner as a member of any partnership, joint venture, association, syndicate, unincorporated business or other separate entity, nor shall this Agreement be deemed to confer on any of them any express, implied, or apparent authority to incur any obligation or liability on behalf of any other. The parties acknowledge that the Trading Advisor has not been an organizer or promoter of the FundPartnership.

Each of the Manager and the Company agrees that the Trading Advisor shall be the sole trading advisor with respect to the Company and that no other person or entity shall be appointed to manage the assets of the Company.

For all purposes of this Agreement, the Trading Advisor shall be deemed to be an independent contractor and shall have no authority to act for or represent the Company Fund in any way and shall not otherwise be deemed to be an agent of the CompanyFund or any of its Limited Partners. Nothing contained herein shall create or constitute the Trading Advisor and any other trading advisor for the CompanyAdvisor, the Fund Fund, any Limited Partner or the Manager MLIP as a member of any partnership, joint venture, association, syndicate, unincorporated business or other separate entity, nor shall this Agreement be deemed to confer on any of them any express, implied, or apparent authority to incur any obligation or liability on behalf of any other. The parties acknowledge that the Trading Advisor has not been an organizer or promoter of the FundFund and assumes no responsibility for the marketing, organization or administration thereof.
