Tract E. (Teton Rim Golf Village). This tract will be converted into 12 residential lots.3 1 Of the 360 units originally approved, 155 units have been sold. 2 The Prior Development Agreements and Master Plan Amendments authorized a total of 40 cluster cabins. Pursuant to the Administrative Amendments, the number of cluster cabins was reduced by 20 cabins, resulting in a total reduction of 32 cluster cabins and an increase of open space of about 17.39 acres. 3 The units associated with Tract E, Tract G, and ▇▇▇▇ ▇▇-▇▇ ▇▇▇▇▇ ▇ ▇▇▇▇▇ ▇▇ deferred until a final decision is made relative to the construction of a golf course. The lot and tracts shall revert to the uses shown on the original master plan if a golf course is constructed. If no golf course is constructed, these lots and tracts shall be used for residential development and incidental uses as described herein.

Tract E. That approximately 6 acre tract of land described on Exhibit 1.4, affixed hereto and by this reference made a part hereof (hereinafter referred to as the "Tract E Tract"). CDA and Trade Partners agree that the value of the Maumelle Tracts is agreed to be Eight Million Three Hundred Thousand Dollars ($8,300,000.00) (the "Agreed Land Value"). TradeArk shall assume at Closing debt of CDA associated with the Maumelle Tracts in the exact amount of Three Million Eight Hundred Thousand Dollars ($3,800,000.00) (the "Maumelle Assumed Debt"), which shall be identified by CDA at Closing. Some of the Maumelle Assumed Debt is secured by mortgages (the "Assumed Mortgages") on certain parcels of the Maumelle Tracts.

The remaining 20 lots will be converted from cluster cabin lots to single family residential units resulting in a total reduction of 32 cluster cabin lots and an increase of open space of about 17.39 acres. 3 The units associated with Tract E, Tract G, and ▇▇▇▇ ▇▇-▇▇ ▇▇▇▇▇ ▇ ▇▇▇▇▇ ▇▇ deferred until a final decision is made relative to the construction of a golf course. If a golf course is constructed, the owner will apply for a plat amendment and comply with the applicable provisions established in the Teton County Subdivision Regulations to permit Tracts E and G and ▇▇▇▇ ▇▇-▇▇ ▇▇▇▇▇ ▇ to be used for purposes associated with the golf course as described herein. If no golf course is constructed, these lots and tracts shall be used for residential development and incidental uses as described herein.
Tract E. (RiverTeton Rim Golf Village). This tract will was be converted into 12 residential lots. These 12 residential lots will be moved to other locations in the development and Tract E will become two Golf Village lots. Tract E would have the following anticipated uses: Tennis Swimming Pool/Spa/Health Club/ Facility/Hot Springs Shops/Services/Office Space/Conference/Sales/Property Management
Tract E. Tract E shall be dedicated to Brevard County for the purpose of the construction and maintenance of a lift station.
