TOC. The Agreement is based on and reflects the principles and objectives set out in the Preamble.
TOC. The Grantee agrees that the awarding State agency, the Department of General Services, the Bureau of State Audits, or their designated representative shall have the right to audit and/or review, and copy any records and supporting documentation pertaining to the performance of this Agreement if it exceeds $10,000. The Grantee agrees to maintain such records for possible audit for a minimum of three (3) years after final payment, unless a longer period of record retention is stipulated in Exhibit D. If any litigation, claim, or audit begins prior to the expiration of the retention period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved and final action taken.
TOC. The State’s Authorized Official may terminate this Agreement with or without cause and upon thirty
TOC. The State’s Contract/Program Manager and the Grantee’s Principal Investigator shall attempt to informally resolve any disputes under this agreement.
TOC. The TOC shall consist of senior technical representatives from Consortium Members, with representation from NASA, from the FAA, and from Industry Tier I and Tier II Members.
(1) The TOC shall include the following:
(i) One designated representative from each Industry Tier I Member;
(ii) One designated representative from each Tier II Member, not to exceed eight (8) representatives. If the number of Tier II members exceeds eight, then eight Tier II representatives shall be nominated by majority vote from the entire Tier 2 membership. In such case, each Tier II representative shall serve a term of two (2) years on the TOC, such term to be staggered so that half of the Tier II representatives’ terms will expire in one (1) year, and the other half of the Tier II representatives’ terms will expire in the following year;
(iii) One NASA representative; and
(iv) One FAA representative.
(2) Each representative shall have one vote.
(3) A chairperson shall be selected from the TOC representatives, alternating bi-annually between NASA and Industry ACC Members. The initial TOC chairperson will be an Industry representative. The chairperson shall break a tie vote of the TOC on any actions under its governance. The TOC shall hold meetings, as often as necessary to conduct consortium business, but in no event less than four (4) times a year. For purposes of meetings of the TOC, a quorum shall consist of a majority of the members of the TOC. The TOC shall:
(i) Develop technology roadmaps that establish specific ACCP goals and their time-phasing as needed to clarify ACCP vision, mission, and quest for meaningful Projects,
(ii) Develop and maintain a PEP;
(iii) Manage the overall ACCP activity in an effort to achieve its goals;
(iv) Manage the integration of the individual technical efforts into the ACCP with strong interaction between Projects;
(v) Facilitate communication between the ACCP technical efforts;
(vi) Assess progress and provide the necessary redirection in order to achieve the ACCP goals; and
(vii) Attempt to resolve issues raised by the CRTs.
TOC. 348 3.15.6 Data from security cameras may be initially reviewed by Campus Police, 349 Human Resources, and/or a designated investigator in connection with 350 official investigations initiated by the District and/or an appropriate 351 regulatory agency. The District will not use recording(s) to evaluate job 352 performance or make other personnel decisions except when there is a 353 substantiated finding that unlawful conduct occurred.
TOC. The Nunavut Settlement Area shall be composed of "Area A", being that portion of the Arctic Islands and mainland of the Eastern Arctic and adjacent marine areas as described in Part 2, and "Area B", being the ▇▇▇▇▇▇▇ Islands, associated islands and adjacent marine areas in ▇▇▇▇▇▇ Bay, described in Part 3.
TOC. Any change in the Key Personnel identified in Exhibit A2, Scope of Work, shall require prior approval of the State. The State shall not unreasonably delay its determination whether to provide such approval. The Grantee will provide any documentation required to facilitate the State’s determination of whether or not to approve the proposed change in Key Personnel.
