Title to Projects Clause Samples
Title to Projects. Borrower owns absolutely free and clear of any chattel mortgages, conditional bills of sale, or other liens or encumbrances other than Permitted Encumbrances, the Personal Property, the Land, and the Improvements of each Project. No financing statement under the Uniform Commercial Code which names Borrower has been filed, and Borrower has not signed any financing statement or any security agreement authorizing any secured party thereunder to file any such financing statement, except in favor of Lender or with respect to Permitted Encumbrances.
Title to Projects. Borrower makes the representations and warranties regarding title to the Projects as provided in the Security Instruments.
Title to Projects. Borrower and Guarantor make any representations and warranties regarding title to the Projects as provided in the Security Instruments.
Title to Projects. Title to the Projects shall be in the Board of Education.
Title to Projects. The respective entities in the Affordable Housing Group reflected on Section 4(e) of the Disclosure Schedule as owning the Projects, own such Projects free and clear of all Encumbrances, except for (1) Permitted Encumbrances, and (2) the Encumbrances disclosed in Section 4(d)-2 of the Disclosure Schedule.
Title to Projects. In consideration for the City's issuance of Bonds to finance the Costs of the Projects as provided herein, the City shall acquire title to the Projects at the time of construction, acquisition or installation and from time to time during construction, subject to the terms and provisions of this Agreement and the leasehold estate of Lessee herein created and such title shall automatically vest in the City immediately upon such construction, acquisition or installation without further notice or action. In this regard, Lessee hereby agrees to execute and deliver to the City the Deed and Bill of Sale for Projects, after completion thereo▇, ▇s set forth in Exhibit "D" and such further documentation as shall be reasonably requested by the City to evidence the City's acquisition of title to the Projects in accordance with the terms of this Agreement.
