Title Records. If (i) after the review of Sellers' Records relating to the Property, Purchaser and/or Purchaser's lender fail or refuse in their respective discretion, to approve title to the Property, or to any particular property of the Property, on account of the Sellers' lack of sufficient or comprehensive title information which assure Purchaser or Purchaser's lender that the title is good and indefeasible and (ii) to approve such title, Purchaser or Purchaser's lender, or either or them, determine in their discretion that the costs to them, or either of them, of title examination are more than they, or either of them, desire to absorb and pay in order to approve the title, then Purchaser shall promptly notify Sellers, and in such event, this Agreement shall be terminated and shall be without further force and effect, in which event Purchaser shall be entitled to the return of the Escrow Deposit (plus accrued interest).
Title Records. The Vendors shall, forthwith following the date hereof, make such Title and Operating Documents, correspondence and other documents, affecting the title of the Vendors to the Assets as are in the possession of the Vendors available to the Purchaser and its authorized representatives for such inspection as the Purchaser reasonably requires in connection herewith. The Vendors shall forthwith following the execution of this Agreement use all reasonable efforts to make available to the Purchaser and its authorized representatives such records which are not in the Vendors’ possession and to which the Vendors have access rights. From time to time, as soon as reasonably practicable after determination, and in any event no later than fifteen (15) Business Days before the Closing Time, Purchaser shall notify the Vendors in writing of defects and omissions in Vendors’ title to the Assets. Such notice shall include a description of each defect or omission and the interests affected thereby, the value allocated by Purchaser acting reasonably to each affected interest and the amount, in Purchaser’s opinion acting reasonably, by which the value of each affected interest has been reduced by the defect or omission. Failure to include a defect or omission in a written notice shall be deemed to be a waiver of such defect or omission for the purposes of this section 13. Prior to the Closing Time, the Vendors shall use all reasonable efforts to cure or rectify the defects and omissions of which Purchaser gives notice. Title Records. For each County set forth on a County Schedule, Security Union or its Security Unions own or have the right to use land title records and materials (including on-line accessible Data Bases, Tax and Assessment records, Lot Books, Maps, Official Records and Starters, each as defined herein) which are sometimes referenced in this Agreement collectively as the "Title Records" for a County. The Title Records shall also include any additions and shall be subject to any deletions made through Security Union's customary daily input and purging procedures. Lot Books, Maps, Official Records, Starters and other materials included in the Title Records are maintained in one or more formats or media determined by Security Union (for example, on microfilm or paper or in electronic form as digital files) and Security Union reserves the right to modify any such format or medium from time to time. Both parties recognize that Security Union or its Security Unions may in the future acquire records and materials through purchase, lease, assignment or other method of transfer and that Security Union may restrict, or may be restricted from allowing, Customer from using such records and materials. Any records and materials so acquired and restricted are not included in this Agreement.
