Common use of TITLE AND CONVEYANCE Clause in Contracts

TITLE AND CONVEYANCE. (A) Subject to the specific provisions of Paragraph 6, hereof, on the Closing Date, Seller shall convey or cause to be conveyed to Buyer, by [see below1] (the “Deed”), title to the Premises, subject only to: (1) real estate taxes not yet due and payable; (2) special taxes or assessments for improvements not yet completed and other assessments or installments thereof not due and payable at the time of closing; (3) applicable zoning and building laws or ordinances, including without limitation building line restrictions; (4) encroachments, utility easements, covenants, conditions, restrictions, public and private easements, and agreements of record; (5) acts done or suffered by Buyer, or anyone claiming, by, through, or under Buyer; (6) liens and other monetary encumbrances as to which the Title Insurer commits to insure Buyer against loss or damage; (7) existing leases and tenancies; and (8) any other Permitted Title Exceptions attached hereto as Exhibit B.
