Common use of Title and Authority Clause in Contracts

Title and Authority. Each of the Grantors has good and -------------------- valid rights in and title to the Collateral with respect to which it has purported to grant a Security Interest hereunder (other than Trademarks which are not, individually or in the aggregate, material to any Grantor's business, condition or prospects) and has full power and authority to grant to the Security Agent the Security Interest in such Collateral pursuant hereto and to execute, deliver and perform its obligations in accordance with the terms of this Agreement, without the consent or approval of any other person other than any consent or approval which has been obtained.

Title and Authority. Each of the Grantors Grantor has good and -------------------- valid rights in and title (or right to use in the case of Intellectual Property) to the Collateral with respect to which it has purported to grant a Security Interest hereunder (other than Trademarks which are not, individually or in the aggregate, material to any Grantor's business, condition or prospects) and has full power and authority to grant to the Security Collateral Agent the Security Interest in such Collateral pursuant hereto and to execute, deliver and perform its obligations in accordance with the terms of this Agreement, without the consent or approval of any other person Person other than any consent or approval which has been obtained.

Title and Authority.
