Time Commitment Sample Clauses

Time Commitment. The Advisor shall, and shall cause its Affiliates and their respective employees, officers and agents to, devote to the Company such time as shall be reasonably necessary to conduct the business and affairs of the Company in an appropriate manner consistent with the terms of this Agreement. The Company acknowledges that the Advisor and its Affiliates and their respective employees, officers and agents may also engage in activities unrelated to the Company and may provide services to Persons other than the Company or any of its Affiliates.
Time Commitment. During the Term, the Executive shall use his best efforts to promote the interests of the Company (including its subsidiaries and other Affiliates) and shall devote all of his business time, ability and attention to the performance of his duties for the Company and shall not, directly or indirectly, render any services to any other person or organization, whether for compensation or otherwise, except with the Board’s prior written consent or as specified on Exhibit C of the Covenants Agreement (as defined in Section 5.1), provided that the foregoing shall not prevent the Executive from (i) participating in charitable, civic, educational, professional, community or industry affairs, or (ii) managing the Executive’s passive personal investments, so long as, in each case, such activities individually or in the aggregate do not materially interfere or conflict with the Executive’s duties hereunder or create a potential business or fiduciary conflict (in each case, as determined by the Board).

Time Commitment. (a) The Managing General Partner shall, and shall cause its Affiliates and their respective employees, officers and agents to, devote to the Partnership, Operating Companies and Investments such time as shall be necessary to conduct the business and affairs of the Partnership, Operating Companies and Investments in an appropriate manner consistent with the terms of this Agreement and the Constituent Documents of each Operating Company. The Partners acknowledge that the Managing General Partner and other Affiliates of Hxxxx and their respective employees, officers and agents may also engage in activities unrelated to the Fund and may provide services to Persons other than the Partnership, the Operating Companies or any of their Affiliates.
Time Commitment. Employee will devote Employee's time, attention and energies to the performance of Employee Services. Employee may not be associated with, consult, advise, work for, be employed by, contract with, or otherwise devote any of the Employee's time to the pursuit of any other work or business activities which may interfere with the performance of services hereunder.
Time Commitment. The Executive shall devote his full business time and attention to the business and affairs of the Bank and the Company and shall use his best efforts to advance the interests of the Bank and Company.
Time Commitment. Executive will devote Executive’s time, attention and energies to the performance of his duties and responsibilities under this Agreement. Executive may not be associated with, consult, advise, work for, be employed by, contract with, or otherwise devote any of Executive’s time to the pursuit of any other work or business activities that may interfere with the performance of such duties and responsibilities. The foregoing shall not preclude Executive from devoting reasonable time to the supervision of his personal investments, civic, charitable, educational, religious and similar types of activities, speaking engagements and membership on other boards of directors, provided such activities do not interfere in any way with the business of the Company; and provided further that, Executive cannot serve on the board of directors of more than one publicly-traded company without the written consent of the Board. The time involved in such activities shall not be treated as vacation time. Executive shall be entitled to keep any amounts paid to him in connection with such activities (e.g., director fees and honoraria).
Time Commitment. Each Director shall devote such time to the Company’s business and affairs as he or she shall determine in his or her sole discretion.
