Common use of Third Party Consents and Approvals Clause in Contracts

Third Party Consents and Approvals. The Company shall have received or obtained all shareholder and material third party consents and approvals that are necessary for the consummation of the transactions contemplated hereby or that are required in order to prevent a breach of or default under, a termination or modification of, or acceleration of the terms of, any contract, agreement or document required to be listed on the attached CONTRACTS SCHEDULE (collectively, the "THIRD PARTY APPROVALS"), in each case on terms and conditions reasonably satisfactory to the Purchasers.

The Company Purchasers and Sub shall have received or obtained all shareholder and material third party and shareholder consents and approvals that are necessary and the requisite approval of the holders of the Company Series A Preferred shall have been obtained for the consummation of the transactions contemplated hereby by them or that are required in order to prevent a breach of or default under, a termination or modification of, or acceleration of the terms of, any contract, agreement or document required to be listed on the attached CONTRACTS SCHEDULE (collectively, the "THIRD PARTY APPROVALS"), in each case on terms and conditions reasonably satisfactory to the Purchaserswhich it is a party.
