Common use of Third-Party Authorization Clause in Contracts

Third-Party Authorization. No consent, approval, exemption, -------------------------- authorization or order of or other action by, and no notice to or filing with, any court or governmental authority or third party is required by any Related Person or Restricted Subsidiary in connection with the execution, delivery or performance by Borrower of this Agreement, or any other Loan Document or to consummate any transactions contemplated hereby or thereby.

Third-Party Authorization. No consent, approval, exemption, -------------------------- authorization or order of or other action by, and no notice to or filing with, any court or governmental authority or third party (other than creditors under Obligations that will be discharged with the proceeds of the first Advance) is required by Borrower or any Related Person or Restricted Subsidiary in connection with the execution, delivery or performance by Borrower and Subsidiaries of this Agreement, or any other Loan Document or to consummate any transactions contemplated hereby or thereby.

Third-Party Authorization. No consent, approval, exemption, -------------------------- authorization or order of or other action by, and no notice to or filing with, any court or governmental authority or third party is required by any Related Person or Restricted Subsidiary the Borrower in connection with the execution, delivery or performance by Borrower of this Agreement; the borrowing by the Borrower under this Agreement and the Note; and the execution, delivery or performance by the Borrower of any other Loan Document to which it is a party or to consummate any transactions contemplated hereby or thereby.
