Plaintiff repeats and realleges each and every allegation set forth in the preceding paragraphs above as if fully set forth herein. 108. New York law implies an obligation of good faith and fair dealing into all contracts. That obligation requires that no party to a contract do anything which will destroy or injure the right of another party to receive the benefits of the contract. U.S. Bank breached the implied covenant of good faith and fair dealing in the Governing Agreements. 109. As set forth above, U.S. Bank had notice that Bear Xxxxxxx, EMC and Xxxxx Fargo had breached their obligations under the Governing Agreements through: its review of the Mortgage Loan Files, foreclosure actions in which it was involved, public investigations, lawsuits, and media coverage. The public investigations, lawsuits and media coverage also put U.S. Bank on notice that Bear Xxxxxxx and EMC faced significant legal and financial difficulties.
