THE YEAR 2000. Except where the failure to do so would not reasonably -------------- be expected to result in a Material Adverse Effect, the Company has used (or is in the process of using) reasonable procedures to verify that any of its software licensed or otherwise provided to its customers and any software used in its business will recognize and process date fields after the turn of the century, and perform date-dependent calculations and operations (including sorting, comparing and reporting) after the turn of the century correctly, and has used (or is in the process of using) reasonable efforts to ensure that any such software will not produce invalid and incorrect results as a result of the change of century (all without human intervention, other than original data entry of valid dates), provided that such software receives correct and properly formatted date inputs from all software and hardware that exchanges data with or provides data to the software.

THE YEAR 2000. Each item of hardware, software, information technology, embedded, or processor based system and/or any combination thereof, used, developed, manufactured, distributed, licensed, transferred or delivered, by the Company (collectively, the "SYSTEM"), shall be able to correctly function, operate, process data or perform date related calculations, including, but not limited to, calculating, comparing and sequencing, from, into and between the years 1999 and 2000, accurately process, provide and/or receive date data, including leap year calculations, into and between the years 1999, 2000 and beyond, shall otherwise function as per the specifications thereof both before, during and following January 1, 2000. Neither performance nor functionality of the System shall be affected by dates prior to, during and after January 1, 2000. A System containing or calling on a calendar function including, without limitation, any function indexed to the CPU clock, and any function providing specific dates or days, or calculating spans of dates or days shall record, store, process, provide and, where appropriate, insert, true and accurate dates and calculations for dates and spans, before, during and following January 1, 2000. The System shall have no lesser functionality or operability with respect to records containing dates, before, during or after January 1, 2000 than heretofore with respect to dates prior to January 1, 2000.
THE YEAR 2000. Cellpoint Systems hereby undertakes to design and supply the GSM localisation System in such a manner that it can be used between now and the year 2000, at the date of changeover from the year 1999 to the year 2000, and beyond. Cellpoint Systems commits itself with respect to continuity of service at the dates corresponding to the changeover from 1999 to 2000 and beyond. Cellpoint Systems hereby guarantees FTM against any failure, irregularity, error, malfunction and, in general, everything which could affect before, during or after the changeover to the year 2000, FTM's information service, due to the taking into account of the changeover to the year 2000 in the services covered by the present contract. Cellpoint Systems hereby undertakes to carry out all requisite tests in order to ensure that the processing of dates, the calculation of dates and all references to dates, of whatever nature, are in accordance with transmillennium criteria, the characteristics of the year 2000 (a Leap Year, in particular) and all of the consequences arising therefrom. As Cellpoint Systems must connect up its system to other equipment by means of communications interfaces, it hereby undertakes that such connecting up shall not require any development of, changes to, transformation or arrangement of any kind whatsoever of all or part of said interfaces. Should it default on any of these obligations, Cellpoint Systems hereby undertakes to repair the prejudice incurred by FT.
THE YEAR 2000. Notwithstanding anything to the contrary contained herein or in the output from the Project Definition Study or in Unisys' original tender, it is understood and agreed by the Contractor and Unisys that, while any software supplied by the Contractor will be Year 2000 Compliant (as defined below), the Contractor will not be responsible for any third party software that is not Year 2000 Compliant, or for any information received by or in the Child Support system which is not Year 2000 Compliant. Without limiting the foregoing, if any information received by or on the Child Support System, by whatever means, is not year 2000 Compliant, Unisys acknowledges that the Contractor shall not be responsible for such failure is caused in any way by such non-compliant information.   • Year 2000 The Borrower has made a full and complete assessment of the Year 2000 Issues and has a realistic and achievable program for remediating the Year 2000 Issues on a timely basis (the "Year 2000 Program"). Based on such assessment and on the Year 2000 Program the Borrower does not reasonably anticipate that Year 2000 Issues will have a Material Adverse Effect.

  • Year 2000 Problem The Company and its Subsidiaries have reviewed the areas within their business and operations which could be adversely affected by, and have developed or are developing a program to address on a timely basis, the "Year 2000 Problem" (that is, the risk that computer applications used by the Company and its Subsidiaries may be unable to recognize and perform properly date-sensitive functions involving certain dates prior to and any date after December 31, 1999). Based on such review and program, the Company reasonably believes that the "Year 2000 Problem" will not have a Material Adverse Effect.

  • Year 2000 Issues Each of the Borrower and its Subsidiaries has made a full and complete assessment of the Year 2000 Issues and has a realistic and achievable program for remediating the Year 2000 Issues on a timely basis. Based on such assessment and program, the Borrower does not reasonably anticipate that Year 2000 Issues will have a Material Adverse Effect.

  • Year 2000 Compatibility Borrower shall take all action necessary to assure that Borrower's computer based systems are able to operate and effectively process data including dates on and after January 1, 2000. At the request of Bank, Borrower shall provide Bank assurance acceptable to Bank of Borrower's Year 2000 compatibility.

  • Year 2000 Compliant Borrower shall perform all acts reasonably necessary to ensure that (a) Borrower and any business in which Borrower holds a substantial interest, and (b) all customers, suppliers and vendors whose compliance is likely to be material to Borrower's business, become Year 2000 Compliant in a timely manner. Such acts shall include, without limitation, performing a comprehensive review and assessment of all Borrower's systems and adopting a detailed plan, with itemized budget, for the remediation, monitoring and testing of such systems. As used in this paragraph, "Year 2000 Compliant" shall mean, in regard to any entity, that all software, hardware, firmware, equipment, goods or systems utilized by or material to the business operations or financial condition of such entity, will properly perform date sensitive functions before, during and after the year 2000. Borrower shall, immediately upon request, provide to Agent such certifications or other evidence of Borrower's compliance with the terms of this paragraph as Bank may from time to time require.

  • Year 2000 Matters Any reprogramming required to permit the proper functioning (but only to the extent that such proper functioning would otherwise be impaired by the occurrence of the year 2000) in and following the year 2000 of computer systems and other equipment containing embedded microchips, in either case owned or operated by the Borrower or any of its Subsidiaries or used or relied upon in the conduct of their business (including any such systems and other equipment supplied by others or with which the computer systems of the Borrower or any of its Subsidiaries interface), and the testing of all such systems and other equipment as so reprogrammed, will be completed by March 31, 1999. The costs to the Borrower and its Subsidiaries that have not been incurred as of the date hereof for such reprogramming and testing and for the other reasonably foreseeable consequences to them of any improper functioning of other computer systems and equipment containing embedded microchips due to the occurrence of the year 2000 could not reasonably be expected to result in a Default or Event of Default or to have a Material Adverse Effect. Except for any reprogramming referred to above, the computer systems of the Borrower and its Subsidiaries are and, with ordinary course upgrading and maintenance, will continue for the term of this Agreement to be, sufficient for the conduct of their business as currently conducted.

  • Contract Year A twelve (12) month period during the term of the Agreement commencing on the Effective Date and each anniversary thereof.

  • Year 2000 Compliance The Borrower will promptly notify the Agent and the Lenders in the event the Borrower discovers or determines that any computer application (including those affected by information received from its suppliers and vendors) that is material to its or any of its Subsidiaries' business and operations will not be Year 2000 Compliant on a timely basis, except to the extent that such failure could not reasonably be expected to have a Material Adverse Effect.

  • Base Year The period beginning on 1 April of one year and ending on 31 March of the following year.
