THE TRANSFEROR’S REPRESENTATIONS AND WARRANTIES. The Transferor represents and warrants below to the Transferee with respect to the following matters as of the date on which this Agreement is executed and on the Closing Day unless the time of warranty is otherwise specifically set forth in relevant provisions of representations or warranties. Each of the representations and warranties shall be deemed to be an independent representation or warranty, and unless explicitly expressed to the contrary, shall not be limited or bound by any other representations or warranties or any other provisions of this Agreement.
