Common use of The Surviving Entity Clause in Contracts

The Surviving Entity. Subject to the terms and conditions of this Agreement, at the Effective Time, Merger Sub shall merge with and into ATN, the separate existence of Merger Sub shall cease and ATN shall survive and continue to exist as a Delaware limited liability company (ATN, as the surviving limited liability company in the Merger, sometimes being referred to herein as the “Surviving Entity”), such that following the Merger, ATN will be a wholly owned subsidiary of Parent.
