THE STANDARD CONTRACTUAL CLAUSES. This Appendix forms part of the Clauses and must be completed and signed by the parties. Description of the technical and organisational security measures implemented by the data importer in accordance with Clauses 4(d) and 5(c) (or document/legislation attached): Data importer will maintain administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of Personal Data uploaded to the Services, as described in the Security Documentation or otherwise made reasonably available by data importer. Data Importer will not materially decrease the overall security of the Services during a subscription term.

THE STANDARD CONTRACTUAL CLAUSES. This Appendix forms part of the Clauses. Description of the technical and organizational security measures implemented by the data importer in accordance with Clauses 4(d) and 5(c) (or document/legislation attached): CloudBerry currently observes the security practices described in this Appendix 2. Notwithstanding any provision to the contrary otherwise agreed to by data exporter, CloudBerry may modify or update these practices at its discretion provided that such modification and update does not result in a material degradation in the protection offered by these practices. All capitalized terms not otherwise defined herein shall have the meanings as set forth in the Agreement.
THE STANDARD CONTRACTUAL CLAUSES. 10.4 Where the Parties have agreed to implement the Standard Contractual Clauses, the Company agrees that the Standard Contractual Clauses, including any claims arising from them, are subject to the terms set out in the Agreement, including any exclusion and limitation of liability provisions. In any case of conflict between the Agreement and the Standard Contractual Clauses, the latter shall prevail.
THE STANDARD CONTRACTUAL CLAUSES. 6.2. If transfers are made pursuant to 6.1(a), Processor self-certifies to, and complies with, the Swiss- U.S. and EU-U.S. Privacy Shield Frameworks, as administered by the U.S. Department of Commerce, and shall maintain such self-certification and compliance with respect to the Processing of Personal Data transferred from member states of the European Union, Iceland, Liechtenstein, Norway, Switzerland or the United Kingdom to any countries which do not ensure an adequate level of data protection within the meaning of the laws and regulations of the foregoing countries for the duration of the Agreement.
THE STANDARD CONTRACTUAL CLAUSES. For the purposes of (i) the Data Processing Agreement (the “Agreement”) between Customer as the Data Controller, and Agilent Technologies, Inc. as the Data Processor; and (ii) Article 26(2) of the Directive for the transfer of personal data to processors established in third countries which do not ensure an adequate level of protection, Customer (the “Data Exporter”) and Agilent Technologies, Inc. (the “Data Importer”) have agreed on the following contractual clauses (the “Clauses”) in order to adduce adequate safeguards with respect to the protection of privacy and fundamental rights and freedoms of individuals for the transfer by the Data Exporter to the Data Importer of the personal data specified in Appendix 1 to these Model Clauses.

For the avoidance of doubt, where this DPA further specifies audit and subprocessor rules in sections 5 and 6, such specifications also apply in relation to the Standard Contractual Clauses.
