THE NEW SYSTEM. Pursuant to the Joint Venture Agreement and the Technology License Agreement, OptiMark and JOS ▇▇▇er into this Agreement to develop and operate a computer system based on the OptiMark Technology for trading Japanese Equity Securities within the territory of Japan. In this Agreement, the Joint Venture Agreement, and the Technology License Agreement, this computer system is referred to as the "New System."
