The Lock-Up Sample Clauses

The Lock-Up. Each Owner hereby agrees that without the prior written consent of the REIT, he will not, directly or indirectly, sell, offer or contract to sell, grant any option for the sale of, seek redemption of or otherwise dispose of or transfer (collectively, "dispose of"), any Partnership Units received hereby except as set forth at Schedule E hereof.
The Lock-Up. Each Contributor hereby agrees that without the prior written consent of FAC, it will not, directly or indirectly, sell, offer or contract to sell, grant any option for the sale of, seek redemption of or otherwise dispose of or transfer (collectively, "dispose of"), any Partnership Units received hereby except as set forth in SCHEDULE 3.1(C) hereof.
The Lock-Up. The Purchaser agrees that it shall not transfer any Shares or any securities convertible into or exercisable or exchangeable (directly or indirectly) for the Shares during the period commencing on the Initial Closing Date and Subsequent Closing Date, as applicable (the “Lock-Up”) ending the date that is twelve months following the (x) Initial Closing Date and (y) Subsequent Closing Date, as applicable (the “Lock-Up Period”). The Lock-Up is expressly agreed to preclude the Purchaser during the applicable Lock-Up Period from engaging in any hedging or other transaction which is designed to or which reasonably could be expected to lead to or result in a sale or disposition of such Purchaser’s Shares even if such Shares would be disposed of by someone other than the undersigned. Such prohibited hedging or other transactions during the applicable Lock-Up Period shall include any short sale or any purchase, sale or grant of any right (including any put or call option) with respect to any of the Purchaser’s Shares or with respect to any security that includes, relates to or derives any significant part of its value from such Shares. Notwithstanding the foregoing, any release or waiver from the restrictions contained in this Section 2.1 prior to the expiration of the applicable Lock-Up Period shall require the prior written consent of the Company.
