The Indemnitee’s Rights on Unfavorable Determination; Binding Effect. If any Independent Legal Counsel determines that there is no reasonable basis for the position that the Indemnitee is entitled to be indemnified hereunder in whole or in part under applicable law, the Indemnitee shall have the right to commence legal proceedings in a court of competent jurisdiction to secure a determination that the Indemnitee is entitled to be indemnified hereunder under applicable law and, subject to the provisions of Section 15, each of the Indemnitors hereby consents to service of process and to appear in any such proceeding. Absent such legal proceedings, any determination by any Independent Legal Counsel shall be conclusive and binding on the Indemnitors and the Indemnitee.
