The Cloud Service Clause Samples
The Cloud Service. This Agreement shall apply to all Gurobi Products that reside on and are used by You on an externally managed and maintained cloud computer(s) or server(s) (the “Cloud”). The Gurobi Cloud service offers access to and use of pre-configured Amazon Web Services’ (“AWS”) Elastic Compute Cloud (“EC2”) systems and Microsoft Azure systems on which the Gurobi Product will run.
The Cloud Service. 2.1. JFrog Cloud is an online software-as-a-service platform managed and provided by JFrog (the “Service”) comprised of various tools and JFrog proprietary Software and is aimed at providing You with an end-to-end, hybrid, universal DevOps platform to achieve continuous software release management. The Service includes those Eligible Features applicable to the Subscription Level You registered for or as set forth in the applicable Offering Page and Order Form and may also include access to certain third-party services. The Service will also include the Licensed Software, where applicable.
2.2. Subject to the terms and conditions of this Agreement, including the registration and payment of the applicable Fees, and solely during the applicable Subscription Term, You will be granted with a non-exclusive, non-transferable, limited and fully revocable right to access and use the Service solely for Your internal use and in connection with the development of Your proprietary software on a cloud server Instance hosted by Azure (the “Cloud Platform”; a “Subscription”).
2.3. Certain Eligible Features are subject to additional terms and conditions as set forth in the Additional Terms available at the following link.
2.4. As part of our continued efforts to improve the Service, we may, from time to time, add or remove features and functionalities, increase, or decrease limits and system resources related to the Service. We may also offer new services or cease from providing others. If we make material changes that negatively impact the Service or if we stop offering a Service, we will provide you with a reasonable advance notice. For the removal of doubt, to the extent you are using a free subscription, we reserve the right to apply such changes without notice.
The Cloud Service. 1.1. SAP Work Manager, cloud edition and SAP Inventory Manager, cloud edition are separate solutions subject to separate fees. The term Cloud Service shall mean either or both of SAP Work Manager, cloud edition and SAP Inventory Manager, cloud edition if included in Customer’s cloud subscription as specified in the Order Form.
1.2. SAP Work Manager, cloud edition includes SAP Agentry technology Customer can use to help:
(a) install, inspect, maintain, and repair assets in the field from a mobile device, and
(b) access asset location, repair history, work order details and materials needed.
1.3. SAP Inventory Manager, cloud edition includes SAP Agentry technology Customer can use to:
(a) help manage inventory levels, fill customer orders, and
(b) track the movement of materials using mobile devices with scanning functionality, and
(c) execute parts stockroom operations from a mobile device.
1.4. Customer must utilize SAP Enterprise Asset Maintenance for SAP Work Manager, cloud edition and/or SAP Warehouse Management for SAP Inventory Manager, cloud edition in conjunction with the Cloud Service, which are not included in the Cloud Service.
The Cloud Service. Voyager is the owner of certain proprietary software which enables, as a cloud-based platform, certain unstructured data analysis (the “Software”). The Software allows Customer the ability to insert certain queries and receive certain responses and analysis based on information collected by the Software from various sources in cyberspace, based on and subject to the initiation of a query by Customer.
