Termsof Trustees. The term of office of each Trustee is a six-year period, ending on March 31st of thelast term year, except that (a) theterm of each Trusteewho was appointed before April 1, 2008 and is a Trusteeon March 31, 2008 is extendedbysix years from its originalexpiration date, (b) the first term of thetwo Trusteesappointedeffective April 1, 2008 is a five year period, and (c) the term of any Trustee appointed to replace a Trustee whose term has not expired will be for the remainder of the term of the Trustee being replaced. Each Trustee shall serve as Trustee until he or she shall die, become incapable of acting hereunder, resign, become disqualified for the position under applicable law, be removed for cause by the Michigan Teamsters Joint Council No. 43 (if a Union Trustee), be removed for cause by majority vote of the other Employer Trustees (if an Employer Trustee), or bereplacedas herein provided atthe expirationof his or her term, whichever occurs first. There is nolimit to thenumber of terms towhicha personmaybe re-appointed. Section3. Written Authority -- Each Trustee serving as such shall execute a written Acceptance of Trust in a form satisfactory to the Trustees and in conformity with ERISA and therebyshallbe deemed to haveacceptedthe Trustcreated, established andmaintained by this Trust Agreement, tohaveconsented to act as a Trusteeandto have agreed to administerthe Trust andeach Benefit Xxxxxx provided in thisTrust Agreement. No individualorpersonmayactasagent for the Trustor a Benefit Plan unlessspecificallyauthorized in writing by the Trustees. No Employer, Union, or Local Union, nor any representative of any Employer, Union, or Local Union,in such capacity, is authorized to interpret any Benefit Plan, the Trust Agreement or anydocument or instrument governingthe Trust ora Benefit Plan, nor cananysuchpersonactasagent of the Trustees. Only the Trustees, within the scopeof their discretionary authority, areauthorizedto interpret a Benefit Plan, the Trust Agreement, and the documents and instruments governing the Trust or Benefit Plans.

  • Declaration of Trust The Owner Trustee hereby declares that it will hold the Owner Trust Estate in trust upon and subject to the conditions set forth herein for the use and benefit of the Certificateholders, subject to the obligations of the Trust under the Basic Documents. It is the intention of the parties hereto that the Trust constitute a statutory trust under the Statutory Trust Act and that this Agreement constitute the governing instrument of such statutory trust. The Trust is not intended to be a business trust within the meaning of Section 101(9)(A)(v) of the Bankruptcy Code. It is also the intention of the parties hereto that, solely for Federal, state and local income and franchise tax purposes, on and after the Closing Date, (a) so long as the Trust has only one Certificateholder, the Trust shall be disregarded as a separate entity and (b) at such time as the Trust has more than one Certificateholder, the Trust will be treated as a partnership, with the assets of the partnership being the Receivables and other assets held by the Trust, the partners of the partnership being the Certificateholders, and the Notes being non-recourse debt of the partnership. The Depositor (and any future Certificateholder by the purchase of the Trust Certificate will be deemed to have agreed) and the Owner Trustee agree to take no action inconsistent with such tax treatment. The Trust shall not elect to be treated as an association under Treasury Regulations Section 301.7701-3(a). The parties agree that, unless otherwise required by appropriate tax authorities, the sole Certificateholder or the Trust, as applicable, will file or cause to be filed annual or other necessary returns, reports and other forms consistent with the foregoing characterization of the Trust for such tax purposes. Effective as of the date hereof, the Owner Trustee, shall have all rights, powers and duties set forth herein and, to the extent not inconsistent herewith, in the Statutory Trust Act with respect to accomplishing the purposes of the Trust. Any action taken on behalf of the Trust prior to the date hereof with respect to the filing of financing statements, the Certificate of Trust, a qualification to do business in the State of Alabama or any other similar qualification or license in any other state or jurisdiction, if applicable, is hereby ratified.

  • Termination of Trust Agreement Section 9.01.

  • Duties of Trustee (a) If an Event of Default has occurred and is continuing, the Trustee will exercise such of the rights and powers vested in it by this Indenture, and use the same degree of care and skill in its exercise, as a prudent person would exercise or use under the circumstances in the conduct of such person’s own affairs.

  • Appointment of Successor Trustee In the event of the death (in the case of a Trustee that is a natural person), dissolution (in the case of a Trustee that is not a natural person), resignation pursuant to Section 7(b) hereof, incompetency, or removal pursuant to Section 7(a) hereof, a successor Trustee may be appointed either by (a) unanimous vote of the Trust Advisory Board, subject to the approval of the United States in consultation with the Beneficiaries, or (b) order of the Bankruptcy Court. Such vote or order shall specify the date on which such appointment shall be effective. Every successor Trustee appointed hereunder shall execute, acknowledge, and deliver to the Bankruptcy Court and to a removed or resigning Trustee (or the representative of a deceased or dissolved Trustee) an instrument accepting the appointment under this Litigation Trust Agreement and agreeing to be bound hereto, and thereupon the successor Trustee, without any further act, deed, or conveyance, shall become vested with all rights, powers, trusts, and duties of such removed, resigning, deceased, or dissolved Trustee pursuant to this Litigation Trust Agreement and the Plan; provided, however, that a removed or resigning Trustee (or the representative of a deceased or dissolved Trustee) shall, nevertheless, when requested in writing by the successor Trustee, execute and deliver an instrument or instruments conveying and transferring to such successor Trustee under the Litigation Trust, or confirming the conveyance and transfer thereto of, all the estates, properties, rights, powers, and privileges of such predecessor Trustee.
