Terms Supplement. Any physical or electronic document prepared by Xxxxxxx Mac for the related Series which, as to each REMIC Pool (or related Upper-Tier and Lower-Tier REMIC Pools), including any related Guaranteed Maturity REMIC Pool created for Guaranteed Maturity Classes, and any related MACR Pool, supplements the other provisions hereof and, together herewith, evidences the establishment of a particular Trust Fund, the Assets included in the related REMIC Pool or Pools, the particular REMIC Certificates issued in respect thereof and the particular MACR Certificates issued in respect of such MACR Pool. A Terms Supplement may, as to any particular Trust Fund, modify, amend or supplement the other provisions hereof in any respect whatsoever and may refer to or incorporate by reference provisions of the Offering Circular or any related supplement or supplemental statement prepared by Xxxxxxx Mac for the related Series. The Terms Supplement for each Series shall be binding and effective upon formation of the related Trust Fund and issuance of the related Classes, whether or not such Terms Supplement is executed, delivered or published by Xxxxxxx Mac.

Terms Supplement. The Market Agent may resign and be discharged of the duties and obligation created by this First Terms Supplement by giving at least 30 days' notice to the Issuer and the Trustee, provided that such resignation shall not be effective until the appointment of a successor market agent by the Issuer and the acceptance of such appointment by such successor market agent. The Market Agent may be replaced at the direction of the Issuer by an instrument signed by an Authorized Officer of the Issuer, filed with the Market Agent and the Trustee at least 30 days before the effective date of such replacement, provided that such replacement shall not be effective until the appointment of a successor Market Agent by the Issuer and the acceptance of such appointment by such successor Market Agent. In the event that the Market Agent shall be removed or be dissolved, or if the property or affairs of the Market Agent shall be taken under the control of any state or federal court or administrative body because of bankruptcy or insolvency, or for any other reason, and there is no Market Agent and the Issuer shall not have appointed its successor as Market Agent, the Trustee, notwithstanding the provisions of the first paragraph of this Section, shall be deemed to be the Market Agent for all purposes of this First Terms Supplement until the appointment by the Issuer of the successor Market Agent. Nothing in this Section shall be construed as conferring on the Trustee additional duties other than as set forth herein.

Related to Terms Supplement

  • Master Definitions Supplement All terms and expressions used in this Agreement shall have the same meaning as those contained in the Master Definitions Supplement to the CAISO Tariff.

  • Amendments, Supplements, Etc This Agreement may be amended or supplemented at any time by additional written agreements as may mutually be determined by Purchaser and Seller to be necessary, desirable or expedient to further the purposes of this Agreement, or to clarify the intention of the parties hereto.

  • Amending Agreement The Trustees are directed to amend the Trust Agreement or the Pension Plan to be consistent with the provisions of this Agreement. In any voluntary or involuntary bankruptcy proceeding involving Seller, failure by Company to assert its rights to "retain its rights" to the intellectual property encompassed by the Source Code or the funds in the Proceeds Escrow, pursuant to Section 365(n)(1)(B) of the Code, under an executory contract rejected in a bankruptcy proceeding, shall not be construed as an election to terminate the contract by Company under Section 365(n)(1)(A) of the Code.

  • Amendment to Schedule The Grantor authorizes the Collateral Agent to modify this Agreement and the Assignments of Patents, without the necessity of such Grantor’s further approval or signature, by amending Schedule A hereto and the Annex to each Assignment of Patents to include any future or other Patents or Patent Licenses that become part of the Patent Collateral under Section 2 or Section 3.1.

  • Amendment to Schedules Schedule 2.01 of the Credit Agreement shall be and it hereby is amended in its entirety by substituting Schedule 2.01 attached hereto.
