Terms Defined in Appendix 1. The terms defined in Appendix 1 hereto, as used in this Agreement, have the meanings set forth in Appendix 1. Section references in the definitions in the Appendix shall be deemed to refer to this Agreement and the Appendix shall be deemed to be part of this Agreement. Capitalized terms used, but not defined, herein or in Appendix 1 shall have the meanings ascribed to such terms in the Group II-V Asset Purchase Agreement.
