Common use of Termination of Encumbrances Clause in Contracts

All liens and encumbrances on the Transferred Assets shall have been terminated, and Seller shall have received and delivered to Buyer duly executed UCC termination statements with respect to any and all UCC financing statements covering such assets and property at Closing.
