TERMINATION FORMULA. That formula, as mutually agreed between the Members, which shall be used to calculate an amount that will reflect the value of the LLC to the TO Member. Member A and Member B, as applicable, shall each allocate the necessary resources and meet together as soon as possible following the execution of this Agreement and as often as a party reasonably requests thereafter, in order to negotiate in good faith the Termination Formula which shall be mutually agreed between the parties prior to the expiration of the Associated Agreement Negotiation Period, as extended by mutual agreement between the Members.
