Termination by Wyeth Clause Samples
Termination by Wyeth. In the event Impax fails to meet the Quarterly Detail Minimum during any period of three consecutive calendar months, Wyeth may terminate this Agreement effective immediately on notice to Impax, such right to be exercisable within a period of three (3) months following the date on which Wyeth receives from Impax the report due under Section 4.2 that discloses such failure.

After the First Commercial Sale of the first Licensed Product in any country, Wyeth shall have the right, exercisable upon six (6) months prior written notice to SCOLR, to terminate this Agreement either (i) in its entirety, or (ii) on a Licensed Product-by-Licensed Product or country-by-country basis.
