Common use of TERMINATION AT OPTION OF THE OWNER PARTICIPANT Clause in Contracts

TERMINATION AT OPTION OF THE OWNER PARTICIPANT. Notwithstanding Section 11.1 hereof, this Agreement and trust created hereby shall terminate and the Trust Estate shall be distributed to the Owner Participant, and this Agreement shall be of no further force and effect, upon the election of the Owner Participant by notice to the Owner Trustee, if such notice shall be accompanied by the written agreement (in form and substance satisfactory to the Owner Trustee) of the Owner Participant assuming all obligations of the Owner Trustee under or contemplated by the Operative Agreements or incurred by it as trustee hereunder and releasing the Owner Trustee therefrom; provided, however, that such notice may be given only after the time the Lien of the Trust Indenture is discharged under Section 10.01 of the Trust Indenture and after the Lease shall no longer be in effect.

Notwithstanding anything in this Trust Agreement to the contrary, the Owner Participant shall not remove the Owner Trustee without cause.
