Terminating Entity. The Class CE Certificateholder; provided, that if the Class CE Certificateholder does not exercise its termination rights under Section 10.01 on any date on which it is entitled to do so, the Terminating Entity shall be the Master Servicer; provided, further, that if neither the Class CE Certificateholder nor the Master Servicer exercises its termination rights under Section 10.01 on any date on which it is entitled to do so, the Terminating Entity shall be the Certificate Insurer.
