Common use of Term Loan Notes Clause in Contracts

Term Loan Notes. If so requested by any Lender by written notice to Company (with a copy to Administrative Agent) at least two Business Days prior to the Closing Date, or at any time thereafter, Company shall execute and deliver to such Lender (and/or, if applicable and if so specified in such notice, to any Person who is an assignee of such Lender pursuant to SECTION 10.6) on the Closing Date (or, if such notice is delivered after the Closing Date, promptly after Company's receipt of such notice) a Term Loan Note or Notes to evidence such Lender's Term Loan.

Term Loan Notes. If so requested by any Lender by written notice to the Company (with a copy to the Administrative Agent) at least two Business Days prior to the Closing Date, or at any time thereafter, the Company shall execute and deliver to such Lender (and/or, if applicable and if so specified in such notice, to any Person who is an assignee of such Lender pursuant to SECTION 10.6) Section 13.06 on the Closing Date (or, if such notice is delivered after the Closing Date, promptly after the Company's receipt of such notice) )), a Term Loan Note or Term Loan Notes to evidence such Lender's Initial Term Loan.

If so requested by any Lender by written notice to Company Borrower (with a copy to Administrative Agent) at least two (2) Business Days prior to the Closing Date, or at any time thereafter, Company Borrower shall execute and deliver to such Lender (and/or, if applicable and if so specified in such notice, to any Person who is an assignee of such Lender pursuant to SECTION Section 10.6) on the Closing Date (or, if such notice is delivered after the Closing Date, promptly after Company's Borrower’s receipt of such notice) a Term Loan Note or Term Loan Notes to evidence such Lender's ’s Term LoanLoans to such Borrower.

If so requested by any Lender by written notice to Company (with a copy to Borrowers and Administrative Agent) Agent at least two Business Days prior to the Closing Effective Date, or at any time thereafter, Company Borrowers with respect to such Term Loan shall execute and deliver to such Lender (and/or, if applicable and if so specified in such notice, to any Person who is an assignee of such Lender pursuant to SECTION 10.6) Section 13.1 on the Closing Effective Date (or, if such notice is delivered after the Closing Effective Date, promptly after Company's Borrowers’ receipt of such notice) a Term Loan Note or Notes to evidence such Lender's ’s Term Loan.

If so requested by any Lender by written notice to Company Parent Borrower (with a copy to Administrative Agent) at least two Business Days prior to the Closing Date, or at any time thereafter, Company Parent Borrower shall execute and deliver to such Lender (and/or, if applicable and if so specified in such notice, to any Person who is an assignee of such Lender pursuant to SECTION Section 10.6) on the Closing Date (or, if such notice is delivered after later than two Business Days prior to the Closing Date, promptly after Company's Parent Borrower’s receipt of such notice) a Term Loan Note or Notes to evidence such Lender's ’s Term Loan.

Term Loan Notes. If so requested by any Lender by written notice to Company the Borrower (with a copy to the Administrative Agent) at least two Business Days prior to the Closing Credit Date, or at any time thereafter, Company the Borrower shall execute and deliver to such Lender (and/or, if applicable and if so specified in such notice, to any Person who is an assignee of such Lender pursuant to SECTION 10.6Section 9.06) on the Closing Credit Date (or, if such notice is delivered after the Closing Credit Date, promptly after Company's the Borrower’s receipt of such notice) a Term Loan Note or Notes promissory note to evidence such Lender's ’s Term LoanLoan (each such note, a “Term Loan Note” and collectively the “Term Loan Notes”).
