Term Loan Credit Agreement. (A) The Administrative Agent shall have received a copy of the Term Loan Credit Agreement and each other Term Loan Document (as defined in the Term Loan Credit Agreement), fully executed by all parties thereto and (B) all conditions precedent set forth in Section 4.01 of the Term Loan Credit Agreement shall have been satisfied or waived by ING, in its capacity as the lender thereunder.
