The Tenures clause defines the type and duration of the legal interest or right a party holds in a property or asset. Tenures. (a) The Seller has not received any written notice of breach of the Tenures, any of the timber cutting rights or permits or operating or development plans issued or filed pursuant to any of the Tenures, other than breaches which individually or in the aggregate, would not be material to the Operations.
(b) The Seller has not received any written notice from any Governmental Entity with respect to any of the Tenures, the Ancillary Forestry Authorizations or the Tenure Related Assets concerning any matter or breach which would have the effect of amending, varying, reducing, impairing, suspending or terminating such Tenures, Ancillary Forestry Authorizations, Tenure Related Assets or any rights or privileges attached thereto, and they are not otherwise aware of any impeding notice or of any material breach of any of the foregoing or any forest management, operating, reforestation or other plans issued or filed pursuant to any of the Tenures or Ancillary Forestry Authorizations, which has not been remedied or abandoned.
(c) No written notice or other written statement, or, to the best of the Seller’s knowledge, verbal notice or other verbal statement, which is currently outstanding, has been received by the Seller, advising or threatening the cancellation, amendment, non-renewal or non-extension of any of the Tenures or the Ancillary Forestry Authorizations.
(d) Section 3.1(37) of the Disclosure Letter contains (i) a list of the Tenure and (ii) a list of any active road permits and cutting permits issued in connection with the Tenures (the “Ancillary Forestry Authorizations”). The declarations made by the Seller to the relevant Governmental Entity in order for such Governmental Entity to publish official information on its website with respect to the Tenures were, at the time they were made, true, correct and complete in all material respects. True, correct and complete copies of each of the Tenures and the Ancillary Forestry Authorizations, and all amendments applicable thereto, have been made available to the Purchaser. Except as disclosed in Section 3.1(37) of the Disclosure Letter or pursuant to our rights under the SFL Holdcos, the Seller has the exclusive right to harvest timber under the Tenures, which are free and clear of all Liens, except Permitted Liens.
(e) Each of the Tenures and the Ancillary Forestry Authorizations is now recorded on the records of the applicable Governmental Entity in the name of the Seller, and all rental, stumpage, royalty an...
Tenures. (i) Each of the Tenures is recorded in the records of the appropriate Governmental Entity in the name of the Seller and no material rentals, stumpage, royalty or scale accounts and other Taxes, assessments or costs arising under the Tenures are overdue or in dispute with any Governmental Entity.
(ii) The Seller is not in breach of, nor has received any written notice of breach of the Tenures, any of the timber cutting rights or permits or operating or development plans issued or filed pursuant to any of the Tenures, other than breaches which individually or in the aggregate, would not be material to the Business.
(iii) The Seller has not received written notice from any Governmental Entity with respect to any matter that would have the effect of reducing, impairing, suspending or terminating in a material manner any Tenures or any rights or privileges attached thereto after the date hereof, and there is none threatened.

Tenures. (i) Other than immaterial claims, no Seller nor any of its Affiliates has received any notice of breach of the Tenures, any of the timber cutting rights or permits or operating or development plans issued or filed pursuant to any of the Tenures other than breaches which individually or in the aggregate would not be material to the Business.
(ii) No Seller nor any of its Affiliates has received notice from any Governmental Entity with respect to any matter that would have the effect of reducing or impairing, in each case in any material respect, or suspending or terminating any of the Tenures or any rights or privileges attached thereto after the date of this Agreement.
Tenures. Tenures generally refer to the ways interests in land are held. This means interests other than title or ownership of the land itself There are many types of tenures. There are leases which allow for certain types of uses like residency or commercial business activity. There are easements and rights of way which permit access to land for the purpose of servicing hydro installations or railways and also for the purpose of allowing those installations to be present on reserve lands.
Tenures. Except as disclosed in the Company Financial Statements:
(i) each of the Tenures is now recorded in the records of the appropriate Governmental Entity in the name of Company or one of its subsidiaries and no material rentals, stumpage, royalty or scale accounts and other Taxes, assessments or costs arising under the Tenures are overdue or in dispute with any Governmental Entity;
(ii) Company is in compliance in all material respects, commensurate with good forest industry practice prevailing in the forest regions in which Company operates as at the date hereof, with all covenants, agreements and obligations including silviculture obligations on its part to be observed or performed under the provisions of each of the Tenures and the licenses, authorizations, permits, plans, contracts and other agreements relating thereto and applicable Laws, other than such non-compliance as collectively would not have a Material Adverse Effect on Company;
(iii) Company is not in breach of, or has received any notice of breach of, the Tenures, any of the timber cutting rights or permits or operating or development plans issued or filed pursuant to any of the Tenures, other than breaches which collectively would not have a Material Adverse Effect on Company, have been remedied by Company or in respect of which the notice has been abandoned by the Person having authority to do so;
(iv) Company has all material licences, permits, orders, authorities and other permissions necessary or advisable to provide free access in and out of the Tenures; and
(v) Company has not received written notice from any Governmental Entity with respect to any matter which would have the effect of reducing, impairing, suspending or terminating in a material manner any Tenures or any rights or privileges attached thereto after the date hereof.
