Common use of Technical Amendment Clause in Contracts

Technical Amendment. If Administrative Agent and the Borrower Representative shall have jointly identified any ambiguity, error (including, but not limited to, an incorrect cross-reference), omission, mistake or defect, or any necessary or desirable change of a technical or immaterial nature, in each case, in any provision of this Agreement or any other Credit Document (including, for the avoidance of doubt, any exhibit, schedule or other attachment to any Credit Document), then Administrative Agent (acting in its sole discretion) and the Borrower Representative or any other relevant Credit Party shall be permitted to amend such provision and such amendment shall become effective without any further action or consent of any other party to any Credit Document. Notification of such amendment shall be made by Administrative Agent to the Lenders promptly upon such amendment becoming effective. Any such amendment shall become effective without any further action or consent of any other party to any Credit Document.
