Tax Returns and Other Reports. (a) The Administrative Trustees shall prepare (or cause to be prepared) at the principal office of the Trust in the United States, as defined for purposes of Treasury regulations section 301.7701-7, at the Depositor’s expense, and file, all United States federal, state and local tax and information returns and reports required to be filed by or in respect of the Trust. The Administrative Trustees shall prepare at the principal office of the Trust in the United States, as defined for purposes of Treasury regulations section 301.7701-7, and furnish (or cause to be prepared and furnished), to each Holder all Internal Revenue Service forms and returns required to be provided by the Trust. Notwithstanding any right under the Code to deliver any such form or return at a later date, the Administrative Trustees shall endeavor to deliver all such forms and returns by January 31 in each taxable year of the Trust. The Administrative Trustees shall provide the Depositor and the Property Trustee with a copy of all such returns and reports promptly after such filing or furnishing. (b) So long as the Property Trustee is the Holder of the Notes, the Administrative Trustees will cause the Depositor’s reports on Form FR Y-9C, FR Y-9LP and FR Y-6 to be delivered to the Property Trustee promptly following their filing with the Federal Reserve. SECTION 4.7.

SECTION 4.7, or (ii) if the Depositor is no longer required to file the reports set forth in (i) above, such other similar reports as the Depositor may be required to file at such time with the Depositor’s primary federal banking regulator promptly following their filing with such banking regulator.
