Task Order Contract. A contract for services that does not procure or specify a firm quantity of services (other than a minimum or maximum quantity) and that provides for the issuance of orders for the performance of tasks during the period of the contract.

(a) HTFC may make changes within the general scope of a Task Order. If Contractor is of the opinion that any proposed change causes an increase or decrease in the cost and/or the time required for performance of the Task Order, the Contractor shall timely notify HTFC in writing of that fact. An agreed-upon change will be reduced to writing signed by the parties hereto and will modify the Task Order accordingly. Notwithstanding the foregoing process, Contractor shall continue to perform its Services diligently pending negotiations of the Parties. Any such notification shall be deemed timely if it is provided in writing within thirty (30) days from the date of receipt by that party of the other party's written notification of a proposed change. The failure to timely notify HTFC of such opinion shall be deemed a waiver of any change order. HTFC may request Contractor to perform additional services not covered by the Scope of Services as set forth in a Task Order, and the Contractor shall perform such extra services and will be compensated for such additional services when they are reduced to a writing mutually agreed to and signed by the parties hereto amending such Task Order. The Contractor shall perform extra services only upon execution of such written amendment.
