Systems Integrity Clause Samples
Systems Integrity. For at least the six-month period prior to the Effective Date Seller’s systems and servers used in the Business and included in the Assets have not been breached or violated in any material manner, and to the knowledge of Seller do not contain any bugs or other features, which may cause systems or security problems for Buyer except for such that, both individually and in the aggregate, have not had a Material Adverse Effect on the Business.
Systems Integrity. FENOC shall implement a program to reduce leakage from systems outside containment that would or could contain highly radioactive fluids during a serious transient or accident to as low as practical levels. This program shall include the following:
1. Provisions establishing preventive maintenance and periodic visual inspection requirements, and
2. Integrated leak test requirements for each system at a frequency not to exceed refueling cycle intervals.
Systems Integrity. Except as set forth on Schedule 5.15, Seller’s systems (including billing systems) and servers used in the Business and Customer credit card information have not been breached or hacked into (including by malware, viruses or security breaches) in any manner and do not contain any malware, viruses, security breaches or bugs of any kind, or other features that could reasonably be expected to cause any material systems or security problems for Buyer.
Systems Integrity. We will use our best efforts to maintain, but we do not guarantee, the privacy of e-mail, network use, and the contents of user directories or files.
Systems Integrity. FS2 will put in place appropriate systems security and firewalls, including levels of encryption, to ensure the integrity of FS2 Systems, and IATA shall be permitted to validate the adequacy and appropriateness of such systems.
