System Integration Services. As Customer uses the NAVITAIRE Hosted Reservation Services, NAVITAIRE will integrate daily reservations activity XML extract files from NAVITAIRE Hosted Reservation Services into the Hosted Revenue Accounting Services. During the implementation of the Hosted Revenue Accounting Services and before production use of such services, NAVITAIRE will assist in the assessment of the transfer of the general ledger output file from the Hosted Revenue Accounting Services application. The Customer shall be responsible for the cost of modifying or replacing any third party systems including hardware and software. For future integration services, NAVITAIRE will, upon request, provide an estimate, however, any services will be provided on a time and materials basis.

System Integration Services. During the implementation of Hosted Web Services and before production use of such services, NAVITAIRE will assist in the assessment of the compatibility of third party hardware and software with the Hosted Services System. Customer shall be responsible for the cost of modifying or replacing any third party systems including hardware and software that are not part of the Services. Future integration services may be included pursuant to a Work Order using the rates outlined in Exhibit K (as modified by Section 6.4 of the Agreement).

System Integration Services. KDDI shall provide, subject to the terms and conditions stated herein, and the CUSTOMER shall accept and pay for all services, subscribed to by the CUSTOMER in any and all “Applications for Service,” hereafter submitted by the CUSTOMER (the “Services”). The Services shall be provided pursuant to this Agreement and the rates, terms, and conditions described in the respective Application for Service. This Agreement incorporates by reference the terms of such Applications for Service. SYSTEM INTEGRATION SERVICES SHALL NOT INCLUDE THE FOLLOWING: (A) Any services and/or any type of solution not listed in an Application for Service; (B) Any shipping fees for repair of defective hardware and/or software package; (C) Any and all costs associated with traveling to and from CUSTOMER’S Equipment location and/or work site(s), including the time necessary to travel to and from same; and (D) Any training services. (E) Any services associated with the relocation, changing, installation, de-installation, demolition, inspection and addition of hardware and/or software onto the herein referenced equipment. (F) Any problems and/or damages caused by CUSTOMER’s fault and/or misuse of the equipment. (G) Any problems and/or damages caused by hardware and/or software installed by other than KDDI America. (H) Any problems and/or damages caused by viruses. (I) Any restoration services of hardware, software and/or data installed and/or managed by other than KDDI America. (J) Solution for any trouble caused beyond KDDI America control, such as power outrage, flood. (K) Answering questions related to the operation of application software or terminals, and (L) Labor and/or maintenance services provided due to troubles caused by:

System Integration Services. Including, but not limited to, the entire service process of integrating software, hardware and network by certain functions and usage requirements for purpose of realizing certain functions and meeting certain usage requirements according to individual requirements. The contents of system integration services include, but not limited to, designing, installation and collocation, project construction, installation and collocation of supporting software, network adjustment and testing, system joint adjustment, and application development.

System Integration Services. 5.1 The provisions of this Section 5 will remain in force for a period of one year from the successful completion of the training set forth in Section 4.1(a). All services performed for Company or performed for a customer of Company as a subcontractor of Company shall be performed by EDS pursuant to the Services Agreement between EDS and Company of even date herewith. In all cases under this Section 5, where EDS is provided the option to perform services, EDS will have three business days to determine whether to accept or decline such option. 5.2 Upon the successful completion of the training set forth in Section 4.1(a), Company shall provide to EDS the option to perform, and EDS may except such option to perform, $[***] of ordered but back logged system integration services business at the following rates: $[***] per hour for Engagement/project management and $[***] per hour for knowledge management consultant/technical/application programmers. 5.3 Upon the successful completion of the training set forth in Section 4.1(a), Company shall also provide to EDS the option to perform, and EDS may except such option to perform, [***]% of any new system integration services business for the eService Suite obtained by Customer during the period beginning at the conclusion of the training set forth in Section 4.1(a) above and lasting for one year thereafter. The calculation will be based upon revenues obtained by the party contracting with the end user pursuant to this Section 5.3 and Section

System Integration Services. During the implementation of Host Reservation Services and prior to production use of such services, OPEN SKIES will assist in the assessment of third party hardware & software to ensure compatibility with the OPEN SKIES Reservation Services Hardware and Software. The Customer shall be responsible for the cost of modifying or replacing any third party systems including hardware and software. Future integration services may be included on a cost estimated basis.
