Suspension of Program. The Purchaser shall promptly notify JPMS of the existence of any circumstances that render it advisable to suspend the Program for any given period of time (including, without limitation, purchases by the Issuer or any other “affiliated purchasers” (as defined in Rule 10b-18) of the Issuer, distributions by the Issuer within the meaning of Regulation M under the Exchange Act or the possession by the Purchaser of material non-public information), and upon receipt of the Purchaser’s direction to suspend the Program, JPMS shall do so. Such suspension notice shall not include any other information about the nature of the circumstances giving rise to such suspension or its applicability to the Purchaser or otherwise communicate any material nonpublic information about the Issuer or the Securities to JPMS. The Purchaser shall be solely responsible for any purchases made by JPMS as the Purchaser’s agent prior to JPMS’s receipt of the Purchaser’s direction to suspend purchases. In addition, if JPMS receives any such notice, JPMS shall nevertheless be entitled to make, and the Purchaser shall be solely responsible for, a purchase hereunder pursuant to a bid made before such notice was received by JPMS.
Suspension of Program. If any Program is altered, suspended or terminated prematurely so that the Costs incurred on that Program as altered, suspended or terminated are less than 80% of the Costs originally proposed, any party which elected not to contribute to that Program shall be given notice of the alteration, suspension or termination by the Management Committee and shall, subject to subsection 7.9, be entitled to contribute its proportionate share of the Costs incurred on that Program by payment thereof to the Management Committee within thirty days after receipt of the notice. If payment is not made by that party within thirty days it shall forfeit its right to contribute to that Program without a demand for payment being required to be made thereafter by the Management Committee.
Suspension of Program. Unless otherwise directed by the Management Committee, the Manager may suspend or terminate prematurely any Program when the Manager, in good faith, considers that conditions are not suitable for the proper continuation or completion of the Program or the results obtained to that time eliminate or substantially impair the technical rationale on which the Program was based. If the Manager suspends or prematurely terminates a Program pursuant to this Section, any funds advanced by Yellowcake for that Program in excess of the Exploration Costs incurred prior to the suspension or premature termination, and such funds will be refunded within sixty (60) days of the suspension or premature termination. Unless approved by Yellowcake, the Manager will be exclusively liable for the payment of all Costs incurred in excess of one hundred and twenty-five percent (125%) of any budgeted Exploration Costs.

If Institution’s account is thirty (30) days or more overdue, in addition to any of its other rights or remedies, Campus Labs reserves the right after notice of overdue payment to Institution to suspend the Program provided to Institution, without liability to Institution, until such amounts are paid in full. Interest will accrue, to the extent allowed by law at 1% per month from the date of invoice on all invoices over 30 days past due. Furthermore, Institution shall reimburse Campus Labs for reasonable out of pocket expenses for administrative, servicing, collection and other costs incurred as a result of Institution’s delinquency.

Suspension of Program. If APHIS determines at any time that the safe- guards contained in this section are not protecting against the introduction of Medflies into the United States, APHIS may suspend the importation of clementines and conduct an investiga- tion into the cause of the deficiency.
