Common use of Suspension of Certain Obligations Clause in Contracts

Suspension of Certain Obligations. The Company shall not be required to comply with the provisions of subsections (f), (g) or (h) of this Section 4 during any period from the time (i) the Agents shall have suspended solicitation of offers for the purchase of Notes in their capacity as agents pursuant to a request from the Company and (ii) no Agent shall then hold any Notes purchased from the Company as principal, as the case may be, until the time the Company shall determine that solicitation of offers for the purchase of Notes should be resumed or an Agent shall subsequently purchase Notes from the Company as principal.

Suspension of Certain Obligations. The Company Corporation shall not be required to comply with the provisions of subsections (fe), (gf) or (hg) of this Section 4 during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents agent pursuant to a request from the Company Corporation and (ii) no Agent the Agents shall not then hold any Notes as principal purchased from the Company as principalCorporation, as the case may be, until to the time the Company Corporation shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently agree for the Agents to purchase Notes from the Company as principal.

The Company shall not be required to comply with the provisions of subsections (fe), (gi) or (hj) of this Section 4 during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents pursuant to a request from the Company and (ii) no Agent the Agents shall not then hold any Notes as principal purchased from the Company as principalpursuant to a Terms Agreement, as the case may be, until to the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently purchase Notes from the Company as principalenter into a new Terms Agreement with an Agent.

The Company shall not be required to comply with the provisions of subsections (f), (g), (h), (j) or (hk) of this Section 4 3 or the provisions of Sections 6(b), 6(c) and 6(d) during any period from the time (i) the Selling Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents agent pursuant to a request notice from the Company and (ii) no Agent Company; provided, that the Selling Agents shall not then hold any Notes as principal purchased from the Company as principal, as the case may beCompany, until the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently agree for the Selling Agents to purchase Notes from the Company as principal.

The Company Corporation shall not be required to comply with the provisions of subsections (fe), (gf) or (hg) of this Section 4 or the provisions of Sections 6(b)(ii), 6(c)(iii) and 6(d)(iii) during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents agent pursuant to a request from the Company Corporation and (ii) no Agent the Agents shall not then hold any Notes as principal purchased from the Company as principalCorporation, as the case may be, until to the time the Company Corporation shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently agree for the Agents to purchase Notes from the Company as principal.

The Company shall not be required to comply with the specified provisions of subsections Section 4(b) or the provisions of Section 4(e) or (f) or Section 7(b), (gc) or (hd) of this Section 4 hereof during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents pursuant to a request from the Company Section 3(a) hereof and (ii) no Agent the Agents shall not then hold any Notes as principal purchased from the Company as principalpursuant to a Terms Agreement, as the case may be, until to the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently purchase Notes from enter into a new Terms Agreement with any or all of the Company as principalAgents.

The Neither the Company nor the Guarantor shall not be required to comply with the provisions of subsections (fb), (ge), (f) or (hg) of this Section 4 during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents pursuant to a request from the Company and (ii) no Agent shall then hold any Notes purchased from the Company as principal, as the case may beprincipal pursuant hereto, until the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently purchase Notes from the Company as principal.

The Company shall not be required to comply with the provisions of subsections (fe), (gf) or (hg) of this Section 4 during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents agent pursuant to a request from the Company and (ii) no Agent shall then hold any Notes purchased from the Company as principal, as the case may be, until the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or resumed; provided that, notwithstanding the foregoing, the Company shall be required to comply with the provisions of subsections (e), (f) and (g) of this Section during any period of time that an Agent shall subsequently purchase holds any Notes from the Company purchased as principalprincipal pursuant hereto.

The Company shall not be required to comply with the provisions of subsections (fd), (ge) or (hf) of this Section 4 4, or subsections (b), (c) and (d) of Section 7 hereof, during any period from the time (i) the Agents shall have suspended solicitation of offers for the purchase of Notes in their capacity as agents pursuant to a request from the Company and (ii) no Agent shall then hold any Notes purchased from the Company as principal, as the case may be, until the time the Company shall determine that solicitation of offers for the purchase of Notes should be resumed or an Agent shall subsequently purchase Notes from the Company as principal.

The Company shall not be required to comply with the provisions of subsections subsection (fe), (gf) or (hg) of this Section 4 during any period from the time (i) the Agents Purchasing Agent shall have suspended solicitation of offers for purchases of the purchase of Notes in their its capacity as agents agent pursuant to a request from the Company and (ii) no the Purchasing Agent shall not then hold any Notes purchased from the Company as principal, as the case may beprincipal pursuant hereto, until the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an the Purchasing Agent shall subsequently purchase Notes from the Company as principal.

Suspension of Certain Obligations. The Company shall not be required to comply with the provisions of subsections (fe), (gf) or (hg) of this Section 4 during any period from beginning on the time (i) date on which the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents agent pursuant to a request from the Company and (ii) or, if later, the date thereafter when the Agents shall no Agent shall then longer hold any Notes purchased as principal from the Company as principalCompany, as and ending on the case may be, until earlier of the time date when the Company shall determine request, by written notice to the Agents, that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent the date when the Company shall subsequently agree for the Agents to purchase Notes from the Company as principal.

The Company shall not be required to comply with the provisions of subsections (fb), (ge), (f) or (hg) of this Section 4 during any period from the time (i) the Agents shall have suspended solicitation of offers for purchases of the purchase of Notes in their capacity as agents pursuant to a request from the Company and (ii) no Agent shall then hold any Notes purchased from the Company as principal, as the case may beprincipal pursuant hereto, until the time the Company shall determine that solicitation of offers for purchases of the purchase of Notes should be resumed or an Agent shall subsequently purchase Notes from the Company as principal.
