Surviving Provision. Notwithstanding anything to the contrary herein, any and all provisions of this Agreement that must necessarily survive to fulfill its essential purposes and to give full effect to the parties’ intents expressed herein shall survive the termination of this Agreement.

Surviving Provision. Sections 3 (“License Restrictions”), 8 (“Title, Retention of Rights and Intellectual Property”), 9 (“Open Source Software”), 12 (“Representations and Indemnification”), 13 (“Limited Warranty”), 14 (“Limitations of Liability”), 15 (“Term and Termination”) and 17 (“General Provisions”) shall survive the termination of this Agreement, in addition to any other provision of this Agreement that must necessarily survive to fulfill its essential purpose and to give full effect to the parties’ intents expressed herein.
Surviving Provision. This Agreement shall terminate upon the termination of your employment with the Company for any reason; provided, however, that the provisions of Sections 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 19 and 20 hereof (and any other operative provisions of this Agreement which, by logical extension, are necessary to interpret and enforce this Agreement so as to give effect to the parties’ intent) shall survive the termination of your employment for any reason and the termination of this Agreement.
Surviving Provision. The Contractual Parties have agreed that the provisions of paragraphs 7.1 and 8.1, article XII of these Terms of Trade remain valid and effective even after the Contract is terminated in any of the methods specified in the Contract, these Terms of Trade or the valid legal regulations.

The requirements of Section 6002 include: (1) procuring only items designated in guidelines of the Environmental Protection Agency (EPA) at 40 CFR part 247 that contain the highest percentage of recovered materials practicable, consistent with maintaining a satisfactory level of competition, where the purchase price of the item exceeds $10,000 or the value of the quantity acquired during the preceding fiscal year exceeded $10,000; (2) procuring solid waste management services in a manner that maximizes energy and resource recovery; and establishing an affirmative procurement program for procurement of recovered materials identified in the EPA guidelines. Does vendor certify that it is in compliance with these provisions? Yes 2 CFR Part 200 or Federal Provision - Rights to Inventions If the Federal award meets the definition of “funding agreement” under 37 CFR §401.2 (a) and the recipient or subrecipient wishes to enter into a contract with a small business firm or nonprofit organization regarding the substitution of parties, assignment or performance of experimental, developmental, or research work under that “funding agreement,” the recipient or subrecipient must comply with the requirements of 37 CFR Part 401, “Rights to Inventions Made by Nonprofit Organizations and Small Business Firms Under Government Grants, Contracts and Cooperative Agreements,” and any implementing regulations issued by the awarding agency. Pursuant to the above, when the foregoing applies to ESC Region 8 and TIPS Members, Vendor certifies that during the term of an award resulting from this procurement process, Vendor agrees to comply with all applicable requirements as referenced in the Federal rule above.
