Common use of Survival of Representations and Warranties Clause in Contracts

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent and each Lender, regardless of any investigation made by any Agent or any Lender or on their behalf and notwithstanding that any Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfied.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each the Agent and each Lender, regardless of any investigation made by any the Agent or any Lender or on their behalf and notwithstanding that any the Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfiedunsatisfied or any Letter of Credit shall remain outstanding.

Such representations and warranties have been or will be relied upon by each the Administrative Agent and each Lender, regardless of any investigation made by any the Administrative Agent or any Lender or on their behalf and notwithstanding that any the Administrative Agent or any Lender may have had notice or knowledge of any Default at on the time of any Credit ExtensionClosing Date, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfied.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent and each Lender, regardless of any investigation made by any Agent or any Lender or on their behalf and notwithstanding that any Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfiedunsatisfied or any Letter of Credit shall remain outstanding. Such representations and warranties have been or will be relied upon by each the Administrative Agent and each Lender, regardless of any investigation made by any the Administrative Agent or any Lender or on their behalf and notwithstanding that any the Administrative Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit ExtensionAdvance, and shall continue in full force and effect as long as any Loan Advance or any other Obligation obligation of the Company hereunder shall remain unpaid or unsatisfied.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent and each Lender, regardless of any investigation made by any Agent or any Lender or on their behalf and notwithstanding that any Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, Extension and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfiedunsatisfied or any Letter of Credit shall remain outstanding (unless the Outstanding Amount of the L/C Obligations related thereto has been Cash Collateralized).

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent and each Lender, regardless of any investigation made by any either Agent or any Lender or on their behalf and notwithstanding that any either Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan Loan, Bankers’ Acceptance, BA Equivalent Note or any other Obligation hereunder shall remain unpaid or unsatisfiedunsatisfied or any Letter of Credit shall remain outstanding.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent Agent, each L/C Issuer and each Lender, regardless of any investigation made by any Agent Agent, any L/C Issuer or any Lender or on their behalf and notwithstanding that any Agent Agent, any L/C Issuer or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfiedunsatisfied or any Letter of Credit shall remain outstanding.

Such representations and warranties have been or will be relied upon by each Agent and each the Lender, regardless of any investigation made by any Agent or any the Lender or on their its behalf and notwithstanding that any Agent or any the Lender may have had notice or knowledge of any Default at the time of any Credit Extensionthe Loan, and shall continue in full force and effect as long as any the Loan or any other Obligation hereunder shall remain unpaid or unsatisfied.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties of the Loan Parties have been or will be relied upon by each the Administrative Agent and each Lender, regardless of any investigation made by any the Administrative Agent or any Lender or on their behalf and notwithstanding that any the Administrative Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation (other than Unasserted Obligations) hereunder shall remain unpaid or unsatisfiedunsatisfied or any Letter of Credit shall remain outstanding.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent and each Lender, regardless of any investigation made by any such Agent or any such Lender or on their behalf and notwithstanding that any Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit ExtensionAdvance, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall Obligations (other than contingent indemnification obligations for which no claim has been asserted) remain unpaid or unsatisfied.

Survival of Representations and Warranties. All representations and warranties made hereunder and in any other Loan Document or other document delivered pursuant hereto or thereto or in connection herewith or therewith shall survive the execution and delivery hereof and thereof. Such representations and warranties have been or will be relied upon by each Agent and each Lender, regardless of any investigation made by any Agent or any Lender or on their behalf and notwithstanding that any Agent or any Lender may have had notice or knowledge of any Default at the time of any Credit Extension, and shall continue in full force and effect as long as any Loan or any other Obligation hereunder shall remain unpaid or unsatisfied.unsatisfied or any Letter of Credit shall remain outstanding. 199

Survival of Representations and Warranties. Survival of Representations and Warranties.
