Common use of Survival of Representations and Warranties and Certain Agreements Clause in Contracts

Survival of Representations and Warranties and Certain Agreements. All agreements, representations and warranties made herein shall survive the execution and delivery of this Agreement and the making of the Loans hereunder. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of each Loan Party, Agent, and Lenders set forth in subsections 9.1(E), 12.1, 12.2, 12.6, 12.11, 12.14, and 12.15 shall survive the payment of the Loans and the termination of this Agreement.

All agreements, representations and warranties made herein shall survive the execution and delivery of this Agreement and the making of the Loans hereunder. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of each Loan PartyBorrowers, Collateral Agent, and Lenders set forth in subsections 9.1(E), 12.110.1, 12.210.2, 12.610.6, 12.1110.11, 12.1410.14, and 12.15 10.15, 10.18 shall survive the payment of the Loans and the termination of this Agreement.
