Common use of Survival of Representations and Indemnities Clause in Contracts

Survival of Representations and Indemnities. All covenants, agreements, representations and warranties made herein and in any certificate delivered pursuant hereto shall survive the making by the Lenders of the Loans and the execution and delivery to the Agent for the account of the Lenders of the Notes regardless of any investigation made by the Agent or the Lenders and of the Agent's and the Lender's access to any information and shall continue in full force and effect so long as any Obligation is outstanding and unpaid. The Borrowers' obligations under Sections 2.13, 2.14, 2.15 and 8.4 and under any other indemnification provisions of the Loan Documents and each Lender's obligations under Sections 7.6 and 8.12 and under any other indemnification provisions of the Loan Documents shall survive the termination of this Agreement for any reason whatsoever and payment of the Notes.
